Terms of Service

1. Acceptance of Terms

By accessing or using the Xabira platform (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service. These Terms form a binding agreement between you and Xabira Ltd, a company incorporated in Uganda (“Xabira”, “we”, “us”, or “our”).

2. Description of Service

Xabira provides a property management platform that enables landlords and property managers to manage rental units, collect rent via Mobile Money, verify tenants, issue digital leases, and track payments. The Service is currently in beta; features and functionality may change without notice during the beta period.

3. Eligibility

You must be at least 18 years of age and legally capable of entering into binding contracts under Ugandan law to use the Service. By using the Service, you represent and warrant that you meet these requirements.

4. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must notify us immediately at [email protected] if you suspect unauthorised access to your account.

5. Permitted Use

You agree to use the Service only for lawful purposes. You must not:

  • Violate any applicable Ugandan or international law or regulation.
  • Submit false, misleading, or fraudulent information about yourself or your properties.
  • Use the Service to harass, intimidate, or defraud tenants or third parties.
  • Attempt to gain unauthorised access to other accounts or systems.
  • Scrape, copy, or reverse-engineer any part of the Service.
  • Upload malicious code or content.

6. Payments and Fees

During the beta period, the Service is provided free of charge. We reserve the right to introduce subscription plans upon general availability, with reasonable notice to existing users. Rent payments processed via Mobile Money are subject to the applicable fees of MTN Mobile Money, Airtel Money, or other payment providers, which are outside our control.

7. Data and Privacy

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. As a landlord or property manager, you are a data controller for tenant data you process through the platform and are responsible for ensuring you have a lawful basis for that processing under Uganda's Data Protection and Privacy Act 2019.

8. Intellectual Property

The Xabira platform, branding, and all content created by Xabira are the exclusive property of Xabira Ltd and protected by Ugandan and international intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Service solely as described in these Terms. You retain ownership of all content and data you upload to the Service.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. XABIRA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DO NOT GUARANTEE THE ACCURACY OR COMPLETENESS OF NIN VERIFICATION RESULTS. TENANT VERIFICATION IS A TOOL TO ASSIST YOUR DECISION-MAKING, NOT A GUARANTEE OF TENANT SUITABILITY.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY UGANDAN LAW, XABIRA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE THREE MONTHS PRECEDING THE CLAIM.

11. Termination

We may suspend or terminate your account at any time for breach of these Terms, suspected fraud, or for any other reason with reasonable notice. You may cancel your account at any time by contacting support. Upon termination, your right to access the Service ceases; we will provide a data export upon request within 30 days.

12. Governing Law

These Terms are governed by the laws of the Republic of Uganda. Any disputes shall first be subject to good-faith negotiation, and if unresolved, to the exclusive jurisdiction of the courts of Uganda.

13. Changes to Terms

We may revise these Terms at any time. Material changes will be communicated via email or a prominent notice on the platform at least 14 days before taking effect. Continued use after the effective date constitutes acceptance.
